Even though I will not be taking the Series 7 Exam, I would still like to know what it is that is known by those who are supposedly in the know. And since it turns out that I will not be looking to learn how to trade options after all, at least not for the time being, nor how to code my system, which is probably to complex for that anyway, at least in terms of what MetaTrader 4 or 5 can do, I'm instead going to begin my Series 7 self-education process (given that I'm not studying anything else trade related at the moment).
When a company wants to sell stock to public investors, otherwise referred to as "go public," it has to file a registration statement and prospectus wit the SEC (unless the securities are exempt from registration, but more on this later). The registration statement includes: Issuer's name, address and description of its business The company's articles of incorporation (unless suppled previously) Names and addresses of the underwriter(s) and all commissions or discounts they will receive directly or indirectly from the sale Expected price the security will be offered at to the public Names and addresses of all company control persons (i.e., officers, directors, anyone owning more that 10% of the corporation's securities along with how much they hold, etc.) Estimated net proceeds from the sale of the security and what they will be used for (e.g., property, good will, other businesses to be purchased, etc.) and if any of the proceeds will be used to pay off outstanding debt The company's capitalization (i.e., outstanding long- and short-term debt, authorized and out-standing stock, par value of its stock, voting rights, exchange rights, etc.) Complete financial statements (balance sheets and income statements) Legal proceeding against the corporation that might impact it Net proceeds derived from any security sold by the issuer during the previous two years along with the underwriter's particulars Names and addresses of counsel who passed on the legality of the issue and a copy of their opinion(s) with regard to the legality of the issue Any agreements or indentures that might affect the securities being offered
