  1. The streets of New York are a battle ground now. Those who mask, those who half-mask, those who do without.

    The other day I did it I ripped off my mask and I walked home from the gym without my mask on. First time in a year. I pretended to look up at buildings and be real interested in the storefronts as a way not to make eye contact with anyone.

    Formally I had been running with the Chin Straps my new gang. Everyone who wears a mask low around the chin. But now I'm with a new group- The Hand Holders. And we are strong. When we pass each other, mask in hand, held down low, it is very much like when a motorcycle passes another and they do that annoying lower fist thing.. We all have our signals and mine is I'm free!

    Essentially doubles the size of the company this year…with a term loan no further dilution, and partial financing from their existing cash… I like this deal from the surface, expected at least one acquisition, this one is bigger than I expected… Great News IMO….

    Key Highlights of the Acquisition:

    • Ex-Tech generated revenue of approximately $25.8 million USD and net income of approximately $1.5 million USD in the calendar year ended December 2020 (or "FY2020")

    • Ex-Tech generated unaudited variable gross margin rate of approximately 30% and gross margin rate of approximately 21% in FY20201.

    • Adds 105 business-to-business ("B2B") customers, growing the Company's B2B segment to a total of approximately 600 customers

    • Adds between $11.0 and $13.0 million USD (unaudited) of total assets to the Company's balance sheet

    • Ex-Tech delivered FY2020 EBITDA2 of approximately $2.6 million USD

    • The current management team operating Ex-Tech will be joining the good natured® team

    • Highly strategic and synergistic acquisition that is expected to be immediately accretive to shareholders on an adjusted EBITDA basis

    • Expected to provide synergies of approximately $1.0 to $1.2 million USD in the twelve months following the close of the acquisition

    • $3.25 million USD in net working capital acquired at closing

    • Includes real estate with a current appraised value of approximately $4.25 million USD, resulting in a net price for the business and operating assets of $9.87 million USD

    • The Company will begin accounting for 100% revenue and financial results from the acquired Ex-Tech business concurrent with closing which is expected later in May 2021

    TEMPE, Ariz., May 05, 2021 (GLOBE NEWSWIRE) -- Wrap Technologies, Inc. The first 50 field uses reported to WRAP by police agencies from across the United States resulted in an over 80% effective rate as tabulated by WRAP.

    The International Association of Chiefs of Police has described use of force as the “amount of effort required by police to compel compliance by an unwilling subject”1. Because BolaWrap doesn’t rely on pain to gain compliance, the device is designed to be used earlier during encounters with unwilling subjects to help prevent escalation and the need to use higher levels of force.

    WRAP and many police departments in the U.S. tabulate the efficacy of a tool such as the BolaWrap by its ability to assist in taking a suspect into custody without excessive force, thereby ending the situation and facilitating a successful outcome. WRAP considers any outcome that results from a device assisting in taking the suspect into custody without the use of a higher level of force reflects the device’s measure of effectiveness. Entities may have their own method of tracking and defining the effectiveness of various law enforcement tools.

    Chief Brian Swafford of Fruitland Police Department in Maryland and Chief Joseph Deras of Glenwood Springs Police Department in Colorado recently participated in interviews with Mr. Rothans and WRAP CEO Tom Smith.     Many agencies consider BolaWrap a very low level or non-report worthy use of force option, and, accordingly, many uses are not reported to WRAP.     Roblox Stock Offers ‘Significant Upside’ for a Tech-Enabled World- it's $66.60




    The children’s videogame developer Roblox received a thumbs-up from J.P. Morgan analyst Alexia Quadrani, who began coverage of the newly public company with an upbeat call on Tuesday.

    Shares of Roblox (ticker: RBLX) fell 3.3% to $68.56 in Tuesday afternoon trading amid broad market weakness.

    Roblox isn’t a typical videogame product.
