Trump Media Co-Founders File Lawsuit Claiming Company Tried To Dilute Their Stake

    Topline
Two founders of Trump's media business are suing the company they once started, claiming Trump’s media business is trying to dilute their stakes in the company, amid a potential merger that could offer President Donald Trump an influx of cash as he’s due to pay the state of New York more than $450 million from a civil fraud ruling.

United Atlantic Ventures—a partnership founded by former “Apprentice” contestants Andy Litinsky and Wes Moss—filed the lawsuit Wednesday in the Delaware Court of Chancery alleging Trump’s media company recently attempted to dilute their share of Trump Media and Technology Group, the parent company of social media platform Truth Social.

The suit alleges that when Litinsky and Moss pitched the idea to the former president they agreed he would receive 90% of the company’s stake and the pair and an attorney on the deal would split the remaining 10% stake, instead of receiving “fee or payment for [their] work” in starting the company.

UAV alleges the former president and other leaders recently attempted to “drastically dilute UAV’s interests,” in what the filing describes as an “11th hour, pre-merger corporate maneuvering” to increase the amount of authorized stock from 120 million shares to one billion shares.

The suit alleges the former president and the Trump Media board planned to give new shares to “Trump and/or his associates and children,” as part of a “dilution scheme” that would reduce UAV’s stake from 8.6% down to less than 1%.

Representatives for Trump Media did not immediately respond to Forbes’ request for comment.

Trump needs to take advantage of the stocks meme status.

I would suggest they do a 10:1 stock split. Then his fanbase will run it up to $100 (with help from the Shorts who will be forced to cover)

That would take his net-worth to $80 Billion :D

  7. Not sure how much demand will come in from here, but a split is unlikely to help that much. GME sold off quite a bit yesterday so maybe their fans are moving into this.

They should be able to buy companies with the monies they raised. It is part of their business model. What is locked down is President Donald Trump and other top executives of DJT from selling their shares in DJT during the lockdown period. When the lockdown expires, they can now sell their shares as they please.
