  1. I'm incorporating my corporation and I'm deciding between Delaware or the Caymans? I wanted to know which one of the two you guys most preferred?

Caymans, has a nicer ring to it.
    Delaware sounds a bit tackey?
    Haha just personal opinion :)

What sort of firm are we talking here as well?
Because that does make a difference.

The answer depends on your specific circumstances. Without knowing them it's impossible to provide relevant advice. You didn't mention if you want to set up a prop firm, hedge fun, a company to trade your own funds etc.

I also suggest you consult and attorney and/or an accountant.

For US citizens and residents filing personal tax paperwork is more complex for offshore investments compared to US companies. Also direct offshore investment is an immediate "red flag" for IRS investigators. On the other hand, depending on what is being done an offshore company may provide more favorable taxation regime and not having to file company tax at all may be an organisational advantage.
